These terms govern your partnership with Sprint19 Labs, Inc. and your use of our website and services. They work alongside any signed Master Service Agreement or statement of work, which governs the specifics of a given engagement.

1. Partnership Structure & Service Delivery

Sprint19 operates as your dedicated technical partner rather than a traditional vendor. Every engagement provides senior development expertise, strategic guidance, dedicated team members, and real-time collaboration.

We deliver through a sprint methodology with weekly deliverables and demos, peer-reviewed code, critical issue response within 4 business hours, and regular standups that keep you fully informed throughout the build.

2. Investment & Payment Terms

Both hourly and fixed-scope package engagements are available. Specific rates and payment terms are set out in your proposal or statement of work.

Invoices are due within 30 days. Overdue amounts may accrue interest at 5% per month. Scope changes require written approval and may adjust the timeline and cost accordingly.

3. Team Exclusivity & Professional Standards

Assigned team members are dedicated resources for your engagement. You agree not to directly employ or contract Sprint19 team members without our prior written consent.

Our team upholds strict professional standards, including confidentiality, senior-level expertise, and reliable availability during agreed hours.

4. Confidentiality & Information Security

Both parties agree to keep proprietary information, business strategies, technical specifications, and user data confidential. This obligation survives the end of the engagement.

Sprint19 implements encryption, role-based access controls, logging, regular security assessments, and automated backups. Our architecture is designed to support GDPR, CCPA, HIPAA, and PCI DSS compliance, and third-party providers are vetted for appropriate security certifications.

5. Intellectual Property & Ownership Rights

All custom work products, including source code, designs, documentation, and database schemas, become your exclusive property upon full payment.

We reserve portfolio rights with your consent; these can be restricted or revoked with 30 days’ notice. Open-source components remain subject to their respective licences.

6. Risk Management & Liability Framework

We commit to 99.9% uptime targets, documented response standards, comprehensive testing, and industry-standard security practices.

To the maximum extent permitted by law, liability is limited to direct damages not exceeding the fees paid in the preceding 12 months, and excludes indirect or consequential damages. Force majeure protections apply.

7. Project Evolution & Change Management

We support scope changes through a formal request process and can pivot direction within 48 hours where needed.

Work is considered complete when functionality operates per the agreed requirements, QA confirms our standards, your testing period (5 business days) shows no material defects, and production deployment succeeds.

8. Partnership Termination & Transition

Either party may terminate with 30 days’ written notice, or immediately for material breach, such as invoices unpaid after 45 days, a confidentiality violation, IP infringement, or sustained performance impairment. That is not cured within 15 days.

Upon termination we provide complete code delivery, knowledge-transfer sessions, a 30-day support period, and data-export assistance. Work in progress is billed pro-rata.

9. Dispute Resolution & Legal Framework

We take a partnership-first approach to disputes: direct discussion, executive escalation, mediation, and finally binding arbitration through the American Arbitration Association.

These terms are governed by the laws of the Republic of the Philippines. Proceedings are conducted in English in Taguig City, Philippines, or via international arbitration.

10. Partnership Enhancement & Ongoing Value

We continuously refine our process, adopt new technology, invest in our team, and integrate client feedback. Long-term partners receive preferential scheduling, strategic advisory, evolution support, and industry insights.

11. Communication & Account Management

Each engagement includes a dedicated project manager, real-time Slack access, weekly progress reports, and monthly strategic reviews.

We maintain a minimum 4-hour daily overlap across time zones, serving clients in 12+ countries.

12. Delivery Guarantee & Warranty Terms

A separate Delivery Guarantee provides a 30-day warranty on deliverables, response-time commitments by engagement tier, and defined resolution processes. Full terms are available on our Delivery Guarantee page.
