1. Partnership Structure & Service Delivery

1.1 Strategic Development Partnership

Sprint19 operates as your dedicated technical partner, not a traditional vendor. We provide:

  • Senior-level development expertise across full-stack technologies

  • Strategic product guidance based on 15+ years of startup experience

  • Dedicated team members who become integral to your success

  • Real-time collaboration tools and transparent communication processes

1.2 Service Scope & Deliverables

Our services include but are not limited to:

  • Core Development: Web, mobile, and API development

  • Strategic Consulting: Product strategy, technical architecture, and scaling guidance

  • Quality Assurance: Comprehensive testing, security audits, and performance optimization

  • Ongoing Support: Post-launch maintenance, feature enhancements, and technical updates

1.3 Delivery Standards

  • Sprint Methodology: Weekly deliverables with continuous client feedback integration

  • Quality Benchmarks: All code undergoes peer review and automated testing before deployment

  • Response Times: Critical issues addressed within 4 business hours (Mon-Fri, 2PM-11PM PHT), standard requests within 24 business hours

  • Communication Standards: Daily standups, weekly sprint reviews, and real-time Slack access

2. Investment & Payment Terms

2.1 Premium Pricing Structure

Our pricing reflects the caliber of talent and strategic value we provide:

  • Hourly rates range from $35-75 USD based on team member specialization

  • Package engagements deliver immediate access to senior talent at 40% below equivalent in-house costs, starting at $25,820/month for our MLP Package (versus $40,000+ for comparable internal teams)

  • All estimates are based on initial project assessments and subject to refinement as requirements evolve

2.2 Payment & Late Fee Policy

  • Payment Terms: Net 30 calendar days from invoice date

  • Late Payment: 5% monthly interest charge on overdue amounts

  • Project Changes: Scope modifications require written approval and may adjust timeline and investment

  • Currency: All fees quoted and payable in USD unless otherwise specified

2.3 Estimate Evolution

Initial project estimates are strategic assessments based on available information. As we collaborate and requirements crystallize, estimates may be refined to ensure optimal outcomes. We maintain complete transparency throughout this process.

3. Team Exclusivity & Professional Standards

3.1 Dedicated Team Commitment

Sprint19 team members assigned to your project are dedicated resources during engagement periods. You agree to:

  • Work with assigned team members exclusively through Sprint19

  • Not directly employ or contract team members without Sprint19's written consent

  • Respect the professional boundary that maintains our ability to deliver consistent, high-quality service

3.2 Professional Excellence Standards

Our team operates under strict professional guidelines:

  • Confidentiality: Complete discretion regarding your proprietary information

  • Quality: Senior-level expertise with proven track records

  • Reliability: Consistent availability during agreed working hours and time zones

4. Confidentiality & Information Security

4.1 Mutual Confidentiality

Both parties agree to maintain strict confidentiality of proprietary information, including:

  • Business strategies, financial information, and competitive data

  • Technical specifications, source code, and architectural designs

  • User data, analytics, and performance metrics

  • Strategic partnerships and business relationships

4.2 Security Architecture & Compliance Considerations

Sprint19 implements security best practices and designs systems with regulatory requirements in mind:

Security Measures:

  • Industry-standard encryption protocols for data transmission and storage

  • Role-based access controls and authentication mechanisms

  • Comprehensive logging and audit trail capabilities

  • Regular security assessments and vulnerability testing

  • Automated, encrypted backups with disaster recovery protocols

Compliance-Ready Design:

  • Architecture designed to support GDPR, CCPA, HIPAA, and PCI DSS compliance requirements

  • Selection of third-party service providers based on their security certifications and compliance documentation

  • Implementation of data protection controls aligned with regulatory frameworks

Third-Party Integration:

  • We evaluate service providers' security certifications (SOC 2, ISO 27001) as part of our selection criteria

4.3 Excluded Information

The following are not considered confidential:

  • Information already in the public domain through no fault of either party

  • Data lawfully obtained from third parties with disclosure rights

  • Information independently developed without using confidential materials

  • Knowledge possessed prior to this agreement

5. Intellectual Property & Ownership Rights

5.1 Client Ownership

All custom work products, including source code, designs, and documentation, become your exclusive property upon full payment of all invoiced amounts. This includes:

  • Application source code and technical architecture

  • Custom design assets and user interface elements

  • Technical documentation and deployment guides

  • Database schemas and API specifications

Payment Plan Provisions: For projects with payment plans, intellectual property transfers incrementally as milestone payments are completed, with full ownership transferring upon final payment.

5.2 Sprint19 Portfolio Rights

We reserve the right to showcase completed work with client consent:

  • Showcase completed work in our portfolio and marketing materials

  • Reference the partnership in client testimonials and case studies

  • Use project experience to improve our methodologies and service offerings

  • Maintain copies of work for quality assurance and legal compliance

Client Control: Portfolio rights may be granted with specific restrictions (e.g., screenshots only, no client name) and can be revoked by written notice with 30-day effect. We honor all confidentiality preferences and never share sensitive business information.

5.3 Third-Party Components

Open-source libraries and third-party services remain subject to their respective licenses. We ensure all implementations comply with licensing requirements and provide clear documentation of dependencies.

6. Risk Management & Liability Framework

6.1 Service Level Commitments

Sprint19 commits to:

  • Uptime: 99.9% availability for production systems under our management

  • Response Times: Documented response standards for different issue severities

  • Quality Standards: Comprehensive testing and quality assurance processes

  • Security: Industry-standard security practices and regular security assessments

6.2 Limitation of Liability

While we stand behind our work quality, liability is limited to:

  • Direct damages not to exceed the total fees paid for services in the 12 months preceding any claim

  • Exclusions: We are not liable for indirect, consequential, or punitive damages including lost profits, business opportunities, or goodwill

  • Time Estimates: All delivery timelines are estimates based on current scope and requirements

6.3 Force Majeure Protection

Neither party is liable for delays or performance issues caused by circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or significant infrastructure failures.

7. Project Evolution & Change Management

7.1 Agile Adaptation Framework

Startups require flexibility, and our processes accommodate evolution:

  • Scope Changes: Managed through formal change request process with impact assessment

  • Pivot Support: Ability to redirect development focus within 48 hours when strategic priorities shift

  • Feature Prioritization: Regular backlog review and priority adjustment based on user feedback and business metrics

7.2 Delivery Acceptance Criteria

Work is considered complete when:

  • All specified functionality operates according to documented requirements

  • Quality assurance testing confirms performance and security standards

  • Client testing period (5 business days) concludes without material defect reports

  • Deployment to production environment is successful and stable

8. Partnership Termination & Transition

8.1 Termination Conditions

Either party may terminate this agreement with:

  • 30-day written notice for convenience termination

  • Immediate termination for material breach (as defined in Section 8.1.1) not cured within 15 days of written notice

  • Project completion when all deliverables are accepted and final payment received

8.1.1 Material Breach Definition: Material breach includes but is not limited to: (a) failure to pay undisputed invoices within 45 days, (b) unauthorized use or disclosure of confidential information, (c) violation of intellectual property rights, or (d) conduct that materially impairs the other party's ability to perform their obligations.

8.2 Transition Support

Upon termination, Sprint19 provides:

  • Complete code delivery with comprehensive documentation

  • Knowledge transfer sessions with your internal team or new development partner

  • 30-day support period for critical issues and clarification questions

  • Data export assistance to ensure smooth transition

8.3 Payment Upon Termination

  • All completed work must be paid according to standard terms

  • Work-in-progress is billed on a pro-rated basis

  • Outstanding balances become immediately due

9. Dispute Resolution & Legal Framework

9.1 Resolution Process

  1. Direct Discussion: Issues addressed through designated project contacts

  2. Executive Escalation: Senior leadership involvement for unresolved concerns

9.2 Governing Law & Jurisdiction

  • Governing Law: These terms are governed by the laws of the Republic of the Philippines

  • Venue: Any disputes requiring formal resolution will be handled in Taguig City, Philippines or through binding international arbitration

  • Language: All proceedings conducted in English
